General Terms and Conditions
1. Formation of the Contract
By placing an order, you are making a binding offer to us to enter into a contract with you. We may accept this offer by sending you an order confirmation by email or by delivering the goods you have ordered. You will first receive confirmation of receipt of your order by email to the email address you have provided (order confirmation). However, a contract of sale is only concluded when we send you our order confirmation by email or upon delivery of the goods ordered. When ordering via our online shop, the ordering process comprises several steps. In the first step, you select the goods you wish to purchase. In the second step, you enter your customer details, including your billing address and, if applicable, a different delivery address. In the third step, you choose your preferred payment method. In the final step, you have the opportunity to review all the details (e.g. name, address, payment method, items ordered) once more and correct them if necessary, before submitting your order to us by clicking on ‘Submit order’.
a) Subscription (subscription orders)
Some of our products can be purchased as a subscription at discounted rates. A subscription is a continuing contractual relationship involving recurring deliveries and payments.
(1) Delivery and frequency: Subscription goods are delivered on a recurring basis at intervals of approximately six months. The first subsequent delivery takes place around ten days before the calculated end of the previous subscription period, with further deliveries at six-monthly intervals.
(2) Price and payment: The price stated in the subscription (currently €59.90 per delivery instead of the standard €79.90) is a final price plus delivery charges according to the relevant delivery zone. Payment is taken automatically for each delivery via the payment method (credit card) provided at the time of the first purchase, based on a payment mandate you have issued; the transaction is processed by our payment service provider, Mollie. By taking out the subscription, you authorise us to collect the amounts due on a recurring basis at the respective delivery date.
(3) Minimum term: The subscription has a minimum term of twelve months, which corresponds to two consecutive deliveries. The discounted subscription price is granted in view of this minimum term.
(4) Early termination: You may cancel the subscription at any time. However, if you cancel before receiving the second delivery, the basis for the discount granted will be withdrawn with retroactive effect; in which case we are entitled to charge you the difference between the subscription price and the standard price (currently €20.00 per delivery already received). We will inform you transparently of any costs associated with early termination before the contract is concluded.
(5) Term following the minimum term: Upon expiry of the minimum term, the subscription continues for an indefinite period and may be cancelled at any time with effect from the next delivery date. There is no automatic renewal for a fixed period.
(6) Methods of cancellation: Cancellation is possible at any time – via the ‘Cancel contracts’ button on our website, by email to info@valeacell.com or by post. You will receive an acknowledgement of receipt stating the date and time.
(7) Right of withdrawal: Your statutory right of withdrawal remains unaffected. However, in the case of filter cartridges and similar hygiene products, this right expires as soon as the seal has been removed or the filter has come into contact with water (Section 312g(2)(3) of the German Civil Code (BGB)).
2. Storage of the contract text
We store the contract text for your order. You can print this out before submitting your order to us by clicking on ‘Print’ in the final step of the ordering process. We will also send you an order confirmation and an order acknowledgement containing all order details and our General Terms and Conditions to the email address you have provided.
3. Retention of title
The goods delivered remain our property until all claims have been paid in full.
4. Prices, delivery charges, return costs in the event of cancellation
a) All prices quoted are final prices, excluding packaging and delivery costs, at the time of ordering.
b) Unless otherwise stated, the costs for packaging and delivery (postage) will be charged separately. The amounts for packaging and delivery charges are summarised on the ‘Delivery and Shipping’ information page.
c) All prices quoted, including those for packaging and delivery, are valid only at the time of ordering. Upon amendment or updating of the website, all previous prices and other details regarding goods shall become invalid. The version valid at the time of ordering shall prevail in each case.
d) The cost of returns shall be borne by the buyer – parcels sent carriage forward will not be accepted.
e) All water products, filters and dietary supplements are classified as hygiene products. Returns are not permitted if the device has been filled with water and has been in use.
The right of withdrawal expires prematurely in the case of contracts
- for the delivery of sealed goods which, for reasons of health protection or hygiene, are not suitable for return if their seal has been broken after delivery
- for the delivery of goods if, due to their nature, they have become inseparably mixed with other goods after delivery
All prices are final.
The delivery charge for a standard parcel within Germany is €4.06.

6. Payment terms for orders within Germany
You can choose to pay via PayPal, credit card or Klarna. For subscriptions, payment is made exclusively by credit card via direct debit (see section 1a).
By credit card: The amount is securely processed via our payment service provider, Mollie.
By PayPal: Payment via PayPal is convenient and secure. As a PayPal customer, you benefit from PayPal Buyer Protection.
Collection of goods from our office: You are welcome to collect the product in person during our opening hours, paying in cash. We reserve the right to exclude certain payment methods. You may only exercise a right of retention insofar as the claims arise from the same contractual relationship.
7.Warranty
The warranty is governed by the statutory provisions. Where second-hand goods are the subject of the contract of sale and the buyer is not a consumer, the warranty is excluded. If the customer is a consumer, the warranty period for the purchase of second-hand goods is one year.

9. Applicable law
German law applies exclusively. In relation to a consumer, this choice of law applies only to the extent that it does not restrict any mandatory statutory provisions of the country in which the consumer is domiciled or habitually resident.
